Terms and Conditions
Introduction
These Terms and Conditions govern your access to and use of the websites operated by Innoweb under the Archsplace brand, including www.archsplace.com and related application subdomains such as architects.archsplace.com, users.archsplace.com, and partners.archsplace.com (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform. Use of the Platform is limited to individuals aged 18 or older. If you are under 18, you are not permitted to use the Platform.
Intellectual Property Rights
Unless otherwise stated, Innoweb and/or its licensors own all intellectual property rights in the Platform and content presented therein. You are granted a limited license only for viewing the material for personal, non-commercial use.
Restrictions
You are specifically restricted from: - Republishing Platform material elsewhere; - Selling, sublicensing, or commercializing Platform content; - Publicly performing or displaying Platform material; - Using the Platform in any way that causes damage or impairs user access; - Violating applicable laws or regulations through use of the Platform; - Conducting data mining, harvesting, or other unauthorized data gathering; - Using the Platform for unsolicited marketing or advertising purposes. Innoweb may restrict access to certain areas of the Platform at its discretion. You are responsible for maintaining the confidentiality of any credentials you use to access the Platform.
Your Content
"User Content" refers to any text, images, videos, or other materials you submit to the Platform. By submitting content, you grant Innoweb a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, publish, and distribute your content in connection with the Platform and its promotion. You are solely responsible for your User Content. It must not violate any intellectual property or privacy rights.
Commission
As of January 1, 2021, Archsplace applies a 10% commission fee on top of the architect's quoted amount for any client orders placed through the Platform. This commission is charged to the client and covers operational and processing costs. Innoweb reserves the right to adjust this rate with prior notice.
Your Privacy
Please refer to our Privacy Policy for details on how we collect and handle your personal data.
No warranties
The Platform is provided "as is" and without any warranties, express or implied. Innoweb makes no representations regarding the accuracy or completeness of Platform content.
Limitation of liability
Innoweb and its officers, directors, and employees shall not be held liable for any damages arising from or connected to your use of the Platform, including indirect or consequential losses.
Indemnification
You agree to indemnify and hold harmless Innoweb from any claims, losses, or damages arising from your breach of these Terms or misuse of the Platform.
Severability
If any provision of these Terms is deemed unenforceable or invalid under applicable law, such provision shall be removed without affecting the remaining provisions.
Variation of Terms
Innoweb reserves the right to modify these Terms at any time. Continued use of the Platform after such changes constitutes your acceptance of the new Terms.
Assignment
You may not transfer or assign your rights or obligations under these Terms without prior written consent. Innoweb may freely assign or transfer its rights.
Entire Agreement
These Terms constitute the entire agreement between you and Innoweb regarding your use of the Platform and supersede any prior agreements.
Governing Law & Jurisdiction
These Terms are governed by the laws of the State of California, United States. You agree to submit to the exclusive jurisdiction of the courts located in California for any disputes related to these Terms or your use of the Platform.
